These Terms of Business ("Terms") were last updated on April 26, 2024.

Please review these Terms carefully as they serve as an enforceable contract between us and contain important information about your legal rights, remedies, and obligations.

1. ACCOUNTS

To engage in most activities on our platform, you'll need an account. Keep your password secure, as you're accountable for all actions taken under your account. If you suspect unauthorized use, please notify our Support Team promptly at info[@]m-legit.com. You require an account for most platform activities, including content and document access and purchases. When establishing and maintaining your account, it's essential to provide accurate, complete information, including a valid email address. You are entirely responsible for your account and all associated activities, assuming liability for any resulting harm or damage.

2. CONTENT ENROLLMENT

When you enroll in a course or access content, you receive a license from us to view it exclusively through our services. Transferring or reselling content is strictly prohibited.

By enrolling in any content (free or paid), you receive a license from M – LEGIT to access it via our platform, with M - LEGIT as the licensor. This license does not authorize content resale in any form. Legally, M – LEGIT grants you a limited, non-transferable license to access and view purchased content solely for personal, non-commercial, educational purposes. Other uses are expressly prohibited unless explicitly permitted in writing by M - LEGIT.

3. PAYMENTS, CREDITS, AND REFUNDS

When you make a payment, you agree to use a valid payment method. If you aren’t happy with your content, M – LEGIT offers a 5-day refund or credit for most content purchases.

Pricing

The pricing of content on M – LEGIT is determined by our established pricing policy. Occasionally, the price of content on our website may differ from that on our mobile or TV applications due to the pricing systems and policies of mobile platform providers regarding sales and promotions.

We periodically offer promotions and sales on our content, where certain items are available at discounted prices for a limited time. The applicable price for content is the one displayed at the time of purchase checkout. Prices for specific content may vary depending on whether you are logged into your account or not, as some promotions are exclusive to new users.

When logged into your account, the currency displayed will be in EUR.

Payments

By making a purchase, you acknowledge and agree to pay the fees for the content you acquire, and you authorize us to charge your debit or credit card or process alternative payment methods (such as PayPal or mobile wallet) for these fees. M - LEGIT collaborates with payment service providers to offer you the most convenient payment options available in your country while ensuring the security of your payment information. We may update your payment methods using information provided by our payment service providers. For further details, please refer to our Privacy Policy.

When completing a purchase, you agree not to use invalid or unauthorized payment methods. If your payment method fails but you still gain access to the enrolled content, you agree to settle the corresponding fees within 30 days of notification from us. We reserve the right to restrict access to any content for which we have not received adequate payment.

Refunds and Refund Credits

If the content you purchased does not meet your expectations, you can request a refund from M – LEGIT within 30 days of your purchase. To initiate a refund, please send a brief notice detailing why the content did not meet your expectations to info[@]m-legit.com. We reserve the right to issue your refund as a credit or back to your original payment method, depending on our payment service providers' capabilities and the platform where the content was purchased (website, mobile app, or TV app), among other factors.

Refunds are not available after the 30-day guarantee period has passed. However, M - LEGIT may grant refunds beyond this period in cases of suspected or confirmed account fraud.

To request a refund, please follow the steps outlined here.

If a refund credit is issued to your account, it will automatically apply towards your next content purchase on our website but cannot be used for purchases on our mobile or TV applications. Refund credits may expire if not used within the specified period and do not hold any cash value, unless required by applicable law.

At our discretion, if we suspect abuse of our refund policy (e.g., extensive consumption of content before requesting a refund, repeated refunds), we reserve the right to deny your refund, restrict future refund requests, ban your account, and/or limit your access to our services. If your account is banned or access to content is disabled due to a violation of our terms, you will not be eligible for a refund. Additional details about our refund policy can be found here.

Gift and Promotional Codes

M – LEGIT occasionally provides gift and promotional codes. Some codes can be redeemed for credits applied to your account, which can then be used to purchase eligible content on our platform, subject to the terms associated with the codes. Other codes may be directly redeemable for specific content. Please note that gift and promotional credits cannot be used for purchases made through our mobile or TV applications.

These codes and credits, along with any associated promotional value, may expire if not used within the specified timeframe. Gift and promotional codes generally cannot be refunded for cash unless otherwise stated in the code terms or as required by applicable law. If you received a gift or promotional code from a partner, it is subject to that partner's refund policies.

If you have multiple credit amounts saved, our system may automatically determine which credits to apply to your purchase.

4. M – LEGIT’S RIGHTS

Ownership of M - LEGIT Platform and Services

We own and retain all rights, title, and interest in the M - LEGIT platform and Services, which include our website, current and future applications, APIs, databases, and content created by our employees. Our platform and services are protected by copyright, trademark, and other applicable laws of Slovenia, the European Union, and foreign countries.

Restrictions and Intellectual Property Rights

You are not permitted to tamper with or use any part of the M - LEGIT platform and Services without proper authorization. All intellectual property rights associated with M - LEGIT, including trademarks, logos, domain names, and other distinctive brand features, are exclusively owned by M - LEGIT and its licensors.

Use of M - LEGIT Name and Trademarks

You are not granted any right to use the M - LEGIT name, trademarks, logos, or other brand features.

Feedback and Suggestions

Any feedback, comments, or suggestions provided to M - LEGIT regarding our services are voluntary. We reserve the right to use such feedback, comments, or suggestions as we deem appropriate, without any obligation to you.

Prohibited Activities on M - LEGIT Platform and Services

While accessing or using the M - LEGIT platform and Services, you are strictly prohibited from:

Disabling, interfering with, or attempting to circumvent any security features of the platform, or probing, scanning, or testing the vulnerability of our systems.
Copying, modifying, creating derivative works of, reverse engineering, reverse assembling, or attempting to discover any source code or content on the M - LEGIT platform or Services.
Accessing or searching our platform using any unauthorized means (automated or otherwise) other than through our currently available search functionalities provided via our website, mobile apps, or API, and only in accordance with the API terms and conditions. You may not scrape, spider, use a robot, or employ other automated means to access the Services.
Using the Services to send altered, deceptive, or false source-identifying information (such as sending email communications falsely appearing as M - LEGIT), or interfering with or disrupting the access of any user, host, or network. This includes activities like sending viruses, overloading, flooding, spamming, or mail-bombing the platforms or services, or any other actions that interfere with or impose an undue burden on the Services.

5. BOOKING A CONSULTATION

When making a reservation, it is essential that the client briefly describes the issue for which legal advice is needed.

The appointment is confirmed only upon receipt of confirmation from the service provider.

Cancellation or Change of Appointment The client may cancel or change a booked appointment at least 24 hours before the scheduled start time.

Failure to adhere to this rule gives the service provider the right to charge fees or decline the request for appointment cancellation.

Execution Time The actual time for service delivery is not binding. The service provider reserves the right to provide advice within a timeframe that ensures the highest quality of service. In any case, the client will receive the correct advice no later than the reserved appointment time.

Response from the Service Provider The client who booked the appointment will receive a response within one hour.

If it is not possible to provide a response within one hour, the client will be contacted before the scheduled appointment for additional information or to initiate the advisory process.

Invoice

An invoice for services will be issued after the service has been provided.

Services are billed based on actual usage and advisory time.

Payment

Payment for services must be made according to the price list valid at the time of appointment booking.

Payments can be made through various payment methods available on the website.

Limitation of Liability

The service provider does not accept liability for any harmful consequences that may arise from the use or non-use of acquired information or advice.

Confidentiality of Information

All information shared by the client with the service provider is treated as confidential and will not be disclosed to third parties without the client's explicit consent.

All materials created by the service provider during legal consultations remain the property of the service provider and may be used exclusively for the purpose of advising the client.

Changes to General Terms and Conditions The service provider reserves the right to change the general terms and conditions without prior notice.

The service provider undertakes to publish any changes to the general terms and conditions on the service provider's website.

Agreement These general terms and conditions, together with the use of the service, constitute the agreement between the client and the service provider, governing their mutual rights and obligations. By using the service, you agree to these terms.

6. PURCHASE AND USE OF AGREEMENT TEMPLATE

By purchasing and using this agreement template, you agree to the following terms and conditions:

Use Restrictions: This agreement template is provided solely for your personal or internal business use. You are strictly prohibited from distributing, selling, or otherwise providing this template to any third party, including but not limited to clients, customers, or other businesses.
Reservation of Rights: All intellectual property rights, including copyrights and ownership of the agreement template, remain with the provider. You are granted a non-exclusive, non-transferable license to use the template solely for its intended purpose.
Limitation of Liability: The provider of the agreement template shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use this template.
Confidentiality: Any information contained within the agreement template is confidential and should not be disclosed to third parties without the provider's explicit consent.
Modification and Distribution: You may not modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works based on the agreement template.
Compliance with Laws: You agree to comply with all applicable laws and regulations governing the use and distribution of this agreement template.
Payment and Refunds: Payment for the agreement template is required prior to download. Refunds are not available once the template has been accessed or downloaded.
Termination: The provider reserves the right to terminate your access to the agreement template if you violate these terms and conditions.
Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
Acceptance: By purchasing and using this agreement template, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.

7. MISCELLANEOUS LEGAL PROVISIONS

These Terms function like any standard contract, containing necessary legal terms that safeguard us against potential issues and clarify the legal relationship between you and M - LEGIT.

Binding Agreement

By registering, accessing, or using our Services, you agree to be bound by a legally enforceable contract with M - LEGIT. If you do not agree to these Terms, refrain from registering, accessing, or using our Services.

Translations of these Terms in languages other than English are provided for convenience. You acknowledge and agree that in case of any conflict, the English version of these Terms will prevail.

These Terms, along with any linked agreements and policies, constitute the complete agreement between you and M - LEGIT.

In the event that any part of these Terms is deemed invalid or unenforceable by applicable law, that provision will be replaced by a valid and enforceable provision that best reflects the original intent, and the remainder of these Terms will remain in effect.

Delay or failure in exercising our rights under these Terms does not constitute a waiver of those rights. We reserve the right to enforce our rights at a later time, even if we have not done so initially. Waiving any rights in a specific instance does not imply a general waiver of rights.

The following sections will remain effective even after the expiration or termination of these Terms: Sections 2 (Content Enrollment and Lifetime Access), 7 (M - LEGIT’s Rights), 9 (Miscellaneous Legal Provisions), and 10 (Dispute Resolution).

Disclaimers

There may be instances when our platform experiences downtime, whether due to planned maintenance or unexpected technical issues. Additionally, we may encounter security vulnerabilities. These are just examples. By using our Services, you acknowledge and agree that you will not hold us liable in such cases where services are disrupted.

In legal terms, the Services and their content are provided "as is" and "as available." We (along with our affiliates, suppliers, partners, and agents) make no representations or warranties regarding the suitability, reliability, availability, timeliness, security, accuracy, or error-free nature of the Services or their content. We expressly disclaim any warranties or conditions, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We (and our affiliates, suppliers, partners, and agents) do not warrant that your use of the Services will yield specific results. Your use of the Services, including any content, is entirely at your own risk. Some jurisdictions do not permit the exclusion of implied warranties, so some of the above disclaimers may not apply to you.

We reserve the right to discontinue certain features of the Services at any time and for any reason. Under no circumstances will M - LEGIT or its affiliates, suppliers, partners, or agents be liable for damages resulting from interruptions or unavailability of such features.

We are not liable for delays or failures in performing any of the Services due to events beyond our reasonable control, such as acts of war, hostility, or sabotage; natural disasters; electrical, internet, or telecommunication outages; or government restrictions.

Risk Acknowledgment and Limitation of Liability

Using our Services involves inherent risks. By agreeing to these terms, you fully acknowledge that our services do not provide personalized legal advice and may not apply to specific cases. You agree that you will have no recourse to seek damages against us, even in the event of loss or damage resulting from using our platform and Services.

In legal terms, to the extent permitted by law, we (along with our group companies, suppliers, partners, and agents) will not be liable for any indirect, incidental, punitive, or consequential damages, including loss of data, revenue, profits, business opportunities, or personal injury or death, whether arising in contract, warranty, tort, product liability, or otherwise, even if we have been advised of the possibility of such damages in advance. Our liability (and the liability of each of our group companies, suppliers, partners, and agents) to you or any third parties under any circumstance is limited to the greater of the amount you have paid us in the 12 months before the event giving rise to your claims. Some jurisdictions do not permit the exclusion or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you.

Indemnification

If your actions result in legal issues for us, we reserve the right to take legal action against you. You agree to indemnify, defend (if requested by us), and hold harmless M - LEGIT, our affiliated companies, and their officers, directors, suppliers, partners, and agents from and against any claims, demands, losses, damages, or expenses (including reasonable attorney fees) brought by third parties, arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your infringement of any third-party rights. Your obligation to indemnify us will remain in effect even after the termination of these Terms and your use of the Services.

Legal Actions and Notices

No legal action arising from or related to this Agreement may be initiated by either party more than one year after the cause of action arises unless prohibited by law.

Any notice or communication required under this Agreement must be in writing and sent by registered or certified mail with the return receipt requested, or by email (from us to the email associated with your account or from you to info[@]m-legit.com).

Relationship Between Us

You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

No Assignment

You are not permitted to assign or transfer these Terms (or the rights and licenses granted under them). For example, if you registered an account as an employee of a company, your account cannot be transferred to another employee. We may assign these Terms (or the rights and licenses granted under them) to another company or individual without restriction. These Terms do not confer any rights, benefits, or remedies upon any third party. You agree that your account is non-transferable, and all rights to your account and other rights under these Terms terminate upon your death.

Sanctions and Export Laws

You represent and warrant that you (whether as an individual or on behalf of any entity) are not located in, or a resident of, any country that is subject to EU trade sanctions or embargoes (such as Cuba, Iran, North Korea, Sudan, Syria, Crimea, Donetsk, or Luhansk regions).

If you become subject to such a restriction during the term of any agreement with M - LEGIT, you agree to notify us within 24 hours. We reserve the right to immediately terminate any further obligations to you, without liability (excluding your outstanding obligations to M - LEGIT).

You are prohibited from accessing, using, exporting, re-exporting, diverting, transferring, or disclosing any portion of the Services or related technical information or materials in violation of applicable EU and other export control and trade sanctions laws, rules, and regulations. Additionally, you agree not to upload any content or technology (including encryption-related information) subject to specific export controls under these laws.

8. DISPUTE RESOLUTION

M - LEGIT is committed to making every effort to resolve disputes with users without resorting to formal legal claims. If a dispute arises between us, you and M - LEGIT agree to initially work diligently and in good faith to achieve a fair and equitable resolution through the informal dispute resolution process described below. Occasionally, a third party may be necessary to assist in resolving the dispute. This Dispute Resolution Agreement outlines the methods available for resolving disputes.

YOU AND M - LEGIT AGREE THAT ANY DISPUTES, CLAIMS, OR CONTROVERSIES ARISING FROM OR RELATING TO THESE TERMS OR THE USE OF THE SERVICES (COLLECTIVELY, “DISPUTES”) THAT CANNOT BE RESOLVED INFORMALLY MUST BE ADDRESSED SOLELY THROUGH SMALL CLAIMS COURT OR BINDING INDIVIDUAL ARBITRATION. BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL OR TO FILE A CASE IN ANY OTHER COURT.

YOU AND M - LEGIT FURTHER AGREE TO PURSUE CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING, WHETHER IN COURT OR THROUGH ARBITRATION.

This Dispute Resolution Agreement applies to both parties, including their agents, attorneys, contractors, subcontractors, service providers, employees, and anyone acting on their behalf. It is binding on your and M - LEGIT’s respective heirs, successors, and assigns.

Mandatory Informal Dispute Resolution Process

Before initiating a formal claim, you and M - LEGIT must engage in the informal dispute resolution process outlined in this section.

The party initiating the claim must send a concise, written statement (“Claim Statement”) including their full name, mailing address, and email address, explaining: (a) the nature and details of the Dispute; and (b) a proposed resolution (including any amount being claimed and how it was calculated). Sending a Claim Statement pauses the statute of limitations for 60 days from the date of receipt. Please send your Claim Statement to M - LEGIT via email at info[@]m-legit.com. M - LEGIT will correspond with you at the email address associated with your M - LEGIT account unless otherwise requested.

Informal Resolution Process

Upon receipt of a Claim Statement, both parties will make good-faith efforts to resolve the matter informally. If the issue cannot be resolved within 60 days of receipt, either party may then pursue a formal claim in small claims court or through individual arbitration, subject to the terms outlined in this Dispute Resolution Agreement.

Failure to complete this process constitutes a material breach of the Terms, and no court or arbitrator shall have jurisdiction to hear or resolve any Disputes between you and M - LEGIT.

Fees and Costs

You and M - LEGIT agree that each party will bear its own costs and attorney’s fees in the event of a dispute unless otherwise permitted by applicable law. If a court or arbitrator determines that arbitration was brought or threatened in bad faith, or that the demand was frivolous or made for an improper purpose, the court or arbitrator may, to the fullest extent permitted by law, award attorneys’ fees to the party defending against the claim.

9. UPDATING THESE TERMS

Periodically, we may update these Terms to clarify our practices or reflect new features or practices. M - LEGIT reserves the right, at its sole discretion, to modify or make changes to these Terms at any time. If any material changes are made, we will notify you prominently, such as by sending an email notice to the address specified in your account or by posting a notice through our Services. Changes will take effect on the day they are posted unless otherwise stated.

Your continued use of our Services after changes become effective signifies your acceptance of those changes. Revised Terms will supersede all prior versions.
